Welcome to Closer. Closer (“we,” “us,” or “our”) provides a mobile application and website located at closerapp.app (collectively, the “Service”) that helps university students meet new people in person. Users go “live” on a real-time map when they are available to hang out, connect with nearby users through our pairing system, and meet face-to-face.
By creating an account or using the Service, you agree to be bound by these Terms and Conditions (“Terms”). These Terms, together with our Privacy Policy, Community Guidelines, and Safety Tips, form the complete agreement between you and Closer regarding your use of the Service.
If you do not agree to these Terms, do not access or use the Service.
By creating an account and using the Service, you represent and warrant that:
Your account is created using phone number authentication. You are responsible for maintaining the security of your account and for all activity that occurs under your account. Your account is non-transferable.
If at any time you cease to meet these eligibility requirements, your authorization to access the Service is automatically revoked and you must immediately delete your account.

“Your Content” includes all information, photos, text, and other material that you upload or provide while using the Service, including your profile photo, gallery photos, bio, and messages.
You are solely responsible for Your Content. You represent and warrant that you have all necessary rights to share Your Content and that it does not violate any third party's rights, including intellectual property and privacy rights.
Do not share anything that you would not want others to see, that would violate these Terms, or that may expose you or us to legal liability. You may not display personal contact information, banking information, or payment information in your profile or messages.
“Member Content” is content that other users upload or provide while using the Service. Member Content belongs to the user who posted it.
You may not copy, reproduce, distribute, or use Member Content for any purpose other than as intended by the Service. You may not use Member Content for commercial purposes, to harass other users, or to make unlawful threats. We reserve the right to terminate your account if you misuse Member Content.
All text, graphics, user interfaces, logos, sounds, artwork, images, and other intellectual property appearing on the Service is owned by or licensed to Closer and is protected by applicable intellectual property laws. We grant you a limited license to access and use this content as provided under these Terms, and we reserve all other rights.
You may not upload or share content that:
Uploading or sharing prohibited content may result in the immediate suspension or termination of your account.
Closer is built on respect and inclusion. We do not tolerate harassment, discrimination, or any form of harmful behavior — on or off the platform.
If you encounter concerning behavior, you can report a user directly through the app. Reports are reviewed by our moderation team, and reported users are automatically blocked from contacting you. You may also contact us at support@closerapp.app.
We reserve the right to investigate and, if appropriate, suspend or terminate any account without prior notice for violating these Terms, for conduct we deem inappropriate or harmful (whether on or off the Service), or for any other reason at our sole discretion.
No criminal background or identity verification checks: Closer does not conduct criminal background checks or formal identity verification on its users. We make no representations or warranties as to the conduct, identity, intentions, or veracity of any user.
YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS, BOTH ONLINE AND IN PERSON. CLOSER DOES NOT GUARANTEE YOUR SAFETY AND IS NOT A SUBSTITUTE FOR FOLLOWING SAFETY PRECAUTIONS. ALWAYS USE YOUR BEST JUDGMENT AND TAKE APPROPRIATE SAFETY MEASURES WHEN MEETING NEW PEOPLE.
Your privacy is important to us. Please read our Privacy Policy for information about how we collect, use, and share your personal data. By using the Service, you agree that we may use your personal data in accordance with our Privacy Policy.
When you go live, your approximate location is displayed on a map to nearby users. Your real-time location is only collected while you are actively in a live session and is automatically deleted when you go offline.
Background location permission is used to maintain location tracking during pairing sessions when the app is backgrounded. It is not used for passive location tracking. You can disable location sharing in your device settings, though this will prevent core features from functioning.
For as long as you comply with these Terms, Closer grants you a personal, worldwide, royalty-free, non-assignable, non-exclusive, revocable, and non-sublicensable license to access and use the Service for purposes as intended by Closer and permitted by these Terms and applicable laws. This license and any authorization to access the Service are automatically revoked if you fail to comply with these Terms.
By creating an account and sharing content on the Service, you grant Closer a worldwide, royalty-free, transferable, sub-licensable right and license to host, store, use, copy, display, reproduce, and distribute Your Content in connection with operating and providing the Service. This license exists for the limited purpose of operating, developing, and improving the Service.
You retain ownership of Your Content. The license you grant us is limited to what is necessary to provide the Service — for example, displaying your profile photo to other users, showing your messages to conversation participants, and storing your data on our servers.
You agree that Closer may access, preserve, and disclose your account information and Your Content if required to do so by law or upon a good faith belief that such access, preservation, or disclosure is reasonably necessary to: (i) comply with legal process; (ii) enforce these Terms; (iii) respond to claims that any content violates the rights of third parties; (iv) respond to your requests for support; or (v) protect the rights, property, or personal safety of Closer, its users, or the public.
We have the right to remove, delete, edit, or limit access to any of Your Content at any time at our sole discretion, including content that we believe violates these Terms or our Community Guidelines.
You can delete your account at any time through Settings in the app. When you delete your account, we delete your photos, profile data, presence data, and local storage as described in our Privacy Policy.
Closer reserves the right to investigate and, if appropriate, suspend or terminate your account without notice if we believe that you have violated these Terms, misused the Service, or behaved in a way that we regard as inappropriate or harmful, whether on or off the Service.
If your account is terminated by you or by Closer for any reason, these Terms continue and remain enforceable between you and Closer. Your information will be maintained and deleted in accordance with our Privacy Policy.
CLOSER PROVIDES THE SERVICE ON AN “AS IS” AND “AS AVAILABLE” BASIS AND, TO THE EXTENT PERMITTED BY APPLICABLE LAW, GRANTS NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
CLOSER DOES NOT REPRESENT OR WARRANT THAT (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED, OR (C) ANY CONTENT OR INFORMATION YOU OBTAIN THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, OR CURRENT.
CLOSER MAKES NO GUARANTEES AS TO THE NUMBER OF ACTIVE USERS AT ANY TIME, USERS' ABILITY OR DESIRE TO COMMUNICATE WITH OR MEET YOU, OR THE CONDUCT OR COMPATIBILITY OF USERS YOU MEET THROUGH THE SERVICE.
CLOSER DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS OR IDENTITY VERIFICATION ON ITS USERS AND MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT, IDENTITY, HEALTH, INTENTIONS, LEGITIMACY, OR VERACITY OF ANY USER. YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS, BOTH ONLINE AND OFFLINE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CLOSER, ITS AFFILIATES, EMPLOYEES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) THE CONDUCT OR CONTENT OF ANY USERS OR THIRD PARTIES ON OR THROUGH THE SERVICE; OR (III) ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT, EVEN IF CLOSER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CLOSER'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.
The Service uses your device's location to provide core features, including displaying your position on the map during live sessions, facilitating pairing with nearby users, and sending proximity notifications.
By going live, you consent to your approximate location being visible to other nearby users on the map. Location data is only collected while you are actively in a live session and is automatically deleted when you go offline.
You can disable location permissions in your device settings at any time, though this will prevent you from using live sessions, pairing, and other location-dependent features. For more information about how we collect and use location data, please see our Privacy Policy.
We may update these Terms from time to time to reflect changes in our practices, the Service, legal requirements, or other factors. We will notify you of material changes by:
Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
These Terms, together with our Privacy Policy, Community Guidelines, and Safety Tips, constitute the entire agreement between you and Closer regarding the use of the Service and supersede all prior agreements, representations, and arrangements between us, whether written or oral.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
To the extent permitted under applicable law, you agree to indemnify, defend, and hold harmless Closer and its affiliates, officers, directors, agents, and employees from and against any complaints, demands, claims, damages, losses, costs, liabilities, and expenses (including legal fees) arising out of or relating to your access to or use of the Service, Your Content, your conduct toward other users, or your breach of these Terms.
We may send you push notifications related to the Service, including messages from other users, proximity alerts, and pairing updates. You can opt out of push notifications at any time by changing your notification settings on your device.
